Corporate Legal Paralegal

Job Description We are seeking an experienced corporate paralegal based in Fremont, CA to support the legal department and business teams by managing the company’s NDA process, maintaining entity records, assisting with transactions and ensuring regulatory compliance. The ideal candidate brings deep corporate paralegal experience, strong executive presence, and the ability to operate as a hands-on legal support in a fast-paced, technology-driven environment. Who You Are

  • 5+ years of corporate experience gained working as a paralegal or contracts manager in a large corporate in-house environment.
  • Able to manage multiple requests and competing priorities in a fast-paced environment while maintaining accuracy, responsiveness, and sound judgment.
  • A strong communicator who effectively collaborates with cross-functional stakeholders, including Legal, Sales, Treasury, and Finance.
  • Proactive, solution-oriented, and comfortable working independently.
  • Highly organized with strong attention to detail.
  • Experience with corporate law and high-volume NDA drafting, review, and negotiation required.
  • Notary Public (California) certification preferred or willingness to obtain within 6 months of hire.
  • Bachelor’s degree or paralegal certificate from an ABA‑approved program.
Experience
  • Strong experience drafting, reviewing, and negotiating commercial contracts and corporate legal documents, with a strong focus on NDAs.
  • Strong understanding of corporate governance and corporate record keeping, including global subsidiary/entity management, board and shareholder meetings and consents, secretary’s certificates, and annual compliance filings. Able to interact with government authorities and prepare and file state registrations, business licenses, annual reports and other required filings with little oversight.
  • Proficient in legal technology and databases, including contract lifecycle management (CLM) systems.
Commercial Contracting & Lifecycle Management
  • Serve as a legal power user for the contract lifecycle management tool (Malbek), acting as the primary point of contact for internal stakeholders regarding NDA requests, status, and execution.
  • Draft, review, and negotiate NDAs, including identifying risk, applying fallback positions, and ensuring alignment with company policies, with additional experience supporting MSAs, SOWs, vendor agreements, licensing agreements, and amendments.
  • Oversee the full NDA lifecycle from intake through execution, including tracking, renewal, and termination.
  • Update and maintain NDA templates, fallback language, and negotiation playbooks.
  • Drive improvements in NDA intake, tracking, and documentation processes utilizing the CLM (Malbek), including automation and standardization initiatives.
Corporate Governance/Entity Management
  • Support corporate maintenance, including entity management, annual filings, and governance recordkeeping.
  • Manage domestic and international entity formation and maintenance, including tracking director and officer information across global subsidiaries.
  • Draft, maintain, and update corporate records, including board and committee minutes, Secretary’s Certificates, incumbency certificates, and other governance-related documents.
  • Manage execution of corporate documents, including wet ink signatures, e-signature platforms (e.g., DocuSign), and notary coordination.
  • Collaborate closely with internal stakeholders to respond to business information requests, including KYC (Know Your Customer) and UBO (Ultimate Beneficial Ownership) requests.
  • Perform various corporate administrative duties, including managing execution of legal documents and assisting with federal, state, and local filings.
  • Maintain organized digital (and physical) files; support audits; monitor deadlines and calendars
Miscellaneous
  • Support on lien enforcement matters utilizing technology platform
  • Support litigation and IP matters as requested
  • Assist with M&A due diligence, data room management, document organization, closing binders, and post‑closing compliance.
  • Identify opportunities to streamline workflows, improve templates, and enhance legal operations efficiency.
Pay is based on market location and may vary based on factors including experience, skills, education, and other job-related reasons. For California, the hourly pay range for this position is $57.69–$67.31 per hour, which annualizes to approximately $120,000–$140,000 based on a full-time schedule.
